Forming, buying, selling, and governing closely held companies, and the contracts that follow a closing.
Most of this work is for companies owned by a small group of people who also run them. The questions are practical: who decides, what happens when an owner leaves, and which promises in a contract will still make sense in five years.
We form entities, write shareholder and operating agreements, and handle the purchase and sale of businesses. When a closing depends on employment terms, leases, or a family succession plan, those pieces are prepared with the lawyers who do that work, under the partner already on the file.
We also read the contracts a company lives with day to day: supply agreements, customer terms, and the guarantees an owner is asked to sign in a personal capacity.
